1. Acceptance of Terms

Welcome to TradeReply. By accessing and using our website, https://www.tradereply.com, and services provided by TradeReply, you (“user”) agree to comply with and be bound by the following Terms of Service. If you do not agree with these terms, you must not use our services. TradeReply is the property of TradeReply LLC. (“we”, “us”, or “our”).

2. Description of Services

TradeReply provides an analytics suite for crypto and stock traders to input historical trading data and use visual KPIs, graphs, and metrics for optimizing trading strategies with real-time insights. Our services include access to various tools, charts, and educational content to enhance your trading experience.

3. Registration and Account Security

To access certain features of TradeReply, you must register and create an account. You agree to:

  • Provide accurate and complete information during the registration process.
  • Maintain the security of your password and account.
  • Notify us immediately of any unauthorized use of your account.

4. Subscription Plans, Payments, and Cancellations

4.1 Subscription Options

TradeReply offers various subscription plans to cater to different user needs, including a Free plan and several paid plans:

  • Free Plan: Provides basic access to our analytics tools and features.
  • Essential Plan: Offers additional features and enhanced analytics tools.
  • Plus Plan: Includes all features of the Essential Plan, with added benefits and advanced tools.
  • Premium Plan: Grants full access to all TradeReply features, tools, and premium support.
4.2 Free Trial

30-Day Free Trial: Users can start with a free 30-day trial of any paid plan. The trial begins the first time you upgrade from the Free plan to a paid plan and is limited to one per account. If you do not cancel or downgrade to the Free plan before the trial ends, your selected paid plan will automatically begin, and your payment method will be charged according to the plan’s billing cycle.

  • One Trial Per Account: Free trials are granted once per account. If you have previously subscribed to a paid plan, or are currently on a paid plan, you are not eligible for another trial, even if you later return to the Free plan.
  • Plan Changes During Trial:  If you upgrade or downgrade between different paid plans during your trial, the trial will continue until its originally scheduled end date. Features of the newly selected plan will apply immediately, but the trial will not restart or extend. At the end of the trial, billing will begin for whichever paid plan you are on at that time, unless your account is scheduled for deletion as described in Section 19 (Termination).
  • Trials During Scheduled Account Deletion: If you schedule account deletion while on a trial, your trial may continue until its scheduled end date. Eligible trial plan changes remain available at no charge but do not extend or restart the trial period. While deletion remains scheduled, your trial will not convert into a paid subscription. See Section 19 (Termination) for details.
  • Downgrade to Free During Trial: If you downgrade to the Free plan during your trial, your access to paid plan features will end immediately and your trial will be considered used. You will not be charged at the end of the trial unless you upgrade again to a paid plan, in which case billing will begin immediately without a new trial.
4.3 Payment and Billing
  • Automatic Billing: When you enter into a paid subscription, you will be automatically charged according to the billing cycle of your chosen plan (monthly or annually). Billing is recurring and will continue until you cancel your subscription.
  • Payment Methods: TradeReply accepts various payment methods. By providing a payment method, you authorize us to charge the applicable subscription fees to that payment method.
  • Billing Cycle: The billing cycle will correspond to the subscription plan you select. Monthly plans will be billed every month, and annual plans will be billed once per year.
4.4 Cancellation and Changes to Subscription
  • Cancellation: You can cancel your subscription at any time through your account settings. If you cancel while on a paid plan, your access to paid features will remain active until the end of the current billing cycle. After that, your subscription will either downgrade to the Free plan or cease, depending on your action. Requesting account deletion may also schedule your subscription to stop renewing at the end of the current billing period; see Section 19 (Termination) for details.
  • Billing Restrictions During Scheduled Account Deletion: While your account is scheduled for deletion, paid upgrades, renewals, pay-now changes, and other paid billing actions may be restricted. TradeReply may prevent billing changes that would otherwise create future charges during the pending deletion period. See Section 19 (Termination).
  • Failed Renewals: If the auto-renewal of an annual plan fails, your subscription will be automatically switched to a monthly plan. If the payment method fails during renewal, your subscription will be canceled.
  • Subscription Upgrades: When you decide to upgrade your subscription plan, the changes will take effect immediately. You will gain access to the new features and benefits associated with the higher-tier plan right away. The billing for the upgraded plan will be prorated, meaning you will be charged a proportional amount for the remaining period of the current billing cycle. Subsequent billing cycles will reflect the full amount of the new plan.
  • Subscription Downgrades: When you choose to downgrade your subscription plan, the changes will take effect at the end of the current billing cycle. You will continue to have access to the features and benefits of your current (higher-tier) plan until the end of the paid period. Starting from the next billing cycle, your subscription will switch to the lower-tier plan, and the billing will reflect the new plan's rate.
4.5 Taxes and Payment Processing
  • Tax Compliance: Our company is registered for tax purposes in the United States. Depending on your location, we may use local subsidiaries or other entities to collect payments. Applicable taxes will be added to the subscription fees where required by law.
  • Payment Processing: All payments are processed and managed by TradeReply or our authorized payment processors. By subscribing, you agree to our processing of your payment information and the applicable charges.
  • Scheduled Plan Changes and Discounts: When you schedule a plan change that does not charge today (for example, a cycle downgrade at renewal), eligible promo codes and refer-a-friend credits may be reserved for your first renewal after the change. Reservations are held locally and, where applicable, attached to your upcoming billing schedule. Removing a promo or referral credit from a scheduled renewal does not delete it from your account. You can manage the discount reserved for your next scheduled renewal from Account → Credits after checkout. New promos added to your account later are not automatically applied to an already-scheduled renewal unless you explicitly reserve them for that renewal. If you cancel the scheduled change or replace it with a different checkout, reserved discounts are released and will not apply. Positive-charge upgrades and other immediate checkouts apply discounts at checkout instead of reserving them.
4.6 Refund Policy
  • Platform Subscriptions Only: Refund requests described here apply only to TradeReply platform subscription plans. Marketplace purchases, including approved buyer refunds and seller-side marketplace fees, are governed separately in Section 15 of these Terms.
  • First Paid Charge: For your first paid monthly or annual platform subscription charge, you may request a refund within 14 calendar days of the charge date.
  • Renewal Charges: For subscription renewal charges, you may request a refund within 72 hours of the renewal charge date.
  • Non-Refundable Charges: Upgrades, prorations, and plan-change adjustment charges are not eligible for refunds.
  • Review and Approval: Submitting a refund request does not guarantee approval. Requests may be denied based on usage, abuse indicators, payment disputes, chargebacks, or policy violations.
  • Review Timeline: Refund requests are reviewed manually. TradeReply typically reviews refund requests within 3 business days of submission. Complex cases may take up to 7 business days. Refund eligibility is determined when your request is submitted. Submitting a request does not guarantee approval, pause billing, or change future renewal dates unless a refund is approved and processed. Approved refunds are processed by our payment processor and may take 5–10 business days to appear on your original payment method, depending on your bank or card issuer.
  • Approved Refunds: If approved, your subscription will be canceled immediately and paid access will end when the refund is processed.
  • Free Trial: If you cancel your subscription during the 30-day free trial, you will not be charged. If you do not cancel before the trial period ends, you will be automatically enrolled in the paid plan and charged accordingly.
  • Ineligibility for Refunds: Users who have filed a chargeback/dispute for the relevant charge are not eligible for a refund request through this process.
4.7 User Responsibility
  • Account Information: It is your responsibility to ensure that your account information, including payment details, is accurate and up-to-date to avoid interruptions in your subscription service.

5. Refer a Friend Program

5.1 Program Overview

TradeReply may offer a Refer a Friend program that allows users to invite friends to register for TradeReply services. When a referral meets all eligibility requirements below, both the referring user and the referred friend may each be eligible to receive a $15 subscription credit (single-use). Creating an account alone does not earn or apply a referral credit. Credits are earned only after the referred user completes an eligible paid subscription checkout and that purchase remains valid through the applicable qualification period described below. Credits are promotional only, have no cash value, are not stored-value or gift cards, and may be applied solely toward eligible future TradeReply subscription payments.

5.2 Eligibility and Application of Credits (Stacking after trial)
  • Who’s eligible: Referral credits are available only to users who meet all eligibility requirements in these Terms and any additional program terms published by TradeReply. Self-referrals are not permitted. An account that has previously had a paid subscription is not eligible to receive a “referred user” credit.
  • Attribution window (90 days): Unless stated otherwise, the Refer a Friend attribution period is 90 days. The referred user must create a new TradeReply account within that period using a valid referral link or code, and must also complete an eligible paid subscription checkout within the same 90-day period for the referral to remain eligible. Qualification must begin within this 90-day period. If a referred user completes an eligible paid subscription checkout before the attribution window ends, credits may still be issued after the window closes, provided the qualifying purchase remains valid through the full Qualification Period described in Section 5.3. Referrals that do not result in an eligible paid subscription within the attribution window may expire. TradeReply’s attribution and eligibility decisions are final.
  • Credit amount: The standard referral reward is $15 for the referrer and $15 for the referred user, unless TradeReply expressly states otherwise for a specific promotion.
  • Referral Credit Value & Threshold (for referrer reward): The threshold for issuing the referrer’s $15 is that TradeReply must collect at least $15 in net charges from the referred user on a paid checkout (after all discounts/credits, excluding taxes/fees). For the Essential monthly price of $14.95, TradeReply treats $14.95 as meeting the $15 threshold.
  • Combination with other offers: Referral credits may not be combined with other promotions, discounts, or credits on the same checkout unless expressly allowed by TradeReply.
  • One credit per referral: Each qualifying referral event is eligible for one $15 credit per side (referred user and referrer), unless TradeReply expressly states otherwise.
  • One claim per referred account: Each referred TradeReply account may generate only one Refer a Friend claim. Duplicate referral claims for the same referred account are not permitted.
5.3 Refunds, Chargebacks, Proration, and Abuse
  • Qualification Period (credit issuance): Referral credits are not issued immediately when a referred user signs up. For both the referrer and the referred user, the applicable $15 credit is granted only after the referred user completes a paid subscription checkout that meets program requirements and that payment remains unreversed through the Qualification Period. The Qualification Period is 14 calendar days from the referred user’s qualifying paid checkout. If the referred user cancels, refunds, or otherwise reverses the qualifying purchase during that period, credits may be denied, withheld, or revoked.
  • If a qualifying paid checkout is refunded, canceled, or otherwise reversed during the Qualification Period while the referral is still within the 90-day attribution window, credits will not be issued for that checkout, but the referral may remain eligible. The referred user may complete another eligible paid subscription checkout before the attribution window ends, which restarts the Qualification Period for that new qualifying purchase.
  • If a qualifying paid checkout is reversed after the attribution window has expired and before credits are issued, the referral may expire and credits will not be issued.
  • If the qualifying paid checkout is refunded in whole or part, charged back, or otherwise reversed during the applicable Qualification Period such that the collected amount no longer meets program requirements, the referral credit will not be issued (or, if issued in error, may be revoked and balances corrected, including by creating a negative balance or offsetting future charges), to the maximum extent permitted by law.
  • Referral discounts may apply to prorated checkouts so long as the checkout results in a positive charge; the referrer reward still requires that TradeReply ultimately collects ≥ $15 (Essential $14.95 counts) within the 90-day attribution window.
  • TradeReply may deny, suspend, reverse, withhold, or revoke credits for suspected fraud, abuse, or policy violations, including but not limited to: self-referrals; duplicate accounts; duplicate referral claims; referrals between accounts under common control; using the same payment instrument across referrer and referred accounts; refunded or canceled qualifying purchases; chargebacks; attempts to manipulate referral attribution; referrals that cannot be verified; automated or incentivized signups; or other behavior inconsistent with ordinary, personal word-of-mouth sharing.
5.4 Referral Attribution (Links, Codes, and Conflicts)
  • Referral attribution may apply to standard email signup and to supported social signup flows, such as Facebook or Google, subject to the same Refer a Friend rules. Referral credit may be tracked via referral links, cookies, signup-session data, or manual entry of a valid referral code during signup or social signup completion, as available.
  • If a social signup flow does not use the main signup form, the referred user may still be able to enter a referral code on the applicable social signup completion step before finishing account creation, where that option is offered.
  • Attribution is not strictly “first touch” and not strictly “last touch.” Where multiple referral codes or referral links may apply, TradeReply will determine the applicable referral attribution based on the valid referral code captured or submitted during signup. A valid referral code manually entered by the referred user may override a previously captured referral link or code. If no manual referral code is entered, TradeReply may use a valid referral code previously captured through a referral link, cookie, or signup session. Invalid or empty manual referral input does not erase an existing valid attribution. TradeReply’s attribution determinations are final.
  • If multiple referrers attempt to claim the same referred account, TradeReply’s attribution system determines the eligible referral. Only one Refer a Friend claim may exist per referred account, and duplicate RAF credits for the same referred account are not allowed.
5.5 Technology and Tracking

To operate the Refer a Friend program, TradeReply may use cookies, local storage, session tracking, referral URLs, IP addresses, and standard browser or device data in accordance with our Privacy Policy. By participating, you consent to TradeReply’s use of these technologies to track and verify referral activity.

5.6 Nature of Credits; Restrictions

Credits are promotional, non-cash, non-transferable, and not redeemable or refundable for cash or any payment instrument, except where required by law. Credits may be used only by the account to which they were issued and only toward eligible subscription charges, excluding taxes, fees, and past-due amounts unless expressly stated. Credits do not apply to $0 checkouts.

5.7 Expiration, Suspension, and Reversal

To the maximum extent permitted by law, TradeReply may suspend, expire, or reverse credits at any time if: (a) they were issued or applied in error; (b) fraud, abuse, or violation of these Terms or program terms is suspected; (c) a refund, chargeback, or payment reversal occurs related to the underlying transaction; or (d) the credits were otherwise improperly awarded or used. TradeReply may correct your balance to reflect such reversals.

5.8 Program Changes, Service Discontinuation, and Business Closure

TradeReply may modify or terminate the Refer a Friend program at any time, and may discontinue some or all Services or cease business. If the program is modified or terminated, or if the Services are discontinued or TradeReply ceases business, any unused credits will automatically expire and be forfeited, and TradeReply will have no obligation to redeem, cash-out, or otherwise compensate for remaining credits, except where prohibited by law.

5.9 Order of Application; Combination with Other Offers

Credits are applied at TradeReply’s discretion to eligible charges on the next checkout with a positive subtotal and may not be combined with other promotions, discounts, or credits on the same checkout unless expressly allowed by TradeReply.

For scheduled subscription changes with no charge due today, eligible referral credit may be reserved for your first renewal after the change instead of being applied immediately. Reserved credit is held on your account until renewal or until the scheduled change is canceled, at which point unused reserved amounts are restored to your available balance.

5.10 Referral Caps; Affiliate Path

To maintain a fair, non-professional program, TradeReply may impose limits on referral rewards, including a maximum of 10 successful referrals or $150 in referral credits per referrer in any rolling 12-month period measured from the date of each qualifying paid checkout, whichever is reached first. Once a referrer reaches a posted limit, additional referral rewards may be paused or declined. Users who consistently approach or exceed program caps, or whose behavior resembles professional promotion, may be invited or required to participate in TradeReply’s affiliate program instead of the Refer a Friend program. TradeReply may update caps from time to time.

The TradeReply Partner Program is separate from the Refer a Friend program and is governed by the Partner Program Rules, CJ Affiliate requirements, and any applicable TradeReply partner terms. Affiliate commissions are not Refer a Friend credits and are not earned, final, or payable unless the referred subscription is properly tracked, validated, successfully collected, unreversed, and accepted as commissionable. TradeReply or CJ Affiliate may decline, withhold, reverse, reconcile, or adjust affiliate commissions for refunds, cancellations, chargebacks, failed payments, disputed payments, fraud, policy violations, unsupported users, non-qualified subscriptions, tracking conflicts, attribution conflicts, or other activity that is not deemed eligible or commissionable.

6. User Conduct

You agree not to use TradeReply to:

  • Violate any applicable laws or regulations.
  • Infringe upon the rights of others.
  • Upload or distribute viruses or any other harmful code.
  • Engage in any activity that disrupts or interferes with our services.

7. Ownership of Information and Redistribution of Data

  • Ownership of Content: All content on TradeReply, including but not limited to text, graphics, charts, analytics tools, and software, is the property of TradeReply or its licensors. This content is protected by copyright, trademark, and other intellectual property laws. Users do not acquire any ownership rights by using our services or accessing our content.
  • Prohibited Redistribution: Except as otherwise expressly permitted by TradeReply, you are strictly prohibited from sublicensing, assigning, transferring, selling, loaning, or distributing any content or data obtained from TradeReply. This includes, but is not limited to:
    1. Sharing data with third parties without our explicit permission.
    2. Using our data for commercial purposes or in any way that competes with TradeReply.
    3. Redistributing or making available our content through any other medium, including websites, applications, or printed materials.
  • Agreements with Data Providers: Our agreements with data providers strictly forbid any form of sublicensing, assigning, transferring, selling, loaning, or distribution of their data by our users. This is to ensure the integrity and proprietary nature of the data provided through TradeReply.
  • Permitted Use: Users are granted a limited, non-exclusive, non-transferable license to access and use the content and tools provided by TradeReply for personal and non-commercial purposes, in accordance with these Terms of Service. Any other use requires prior written permission from TradeReply.
  • Violation of Terms: Any violation of these terms regarding the ownership and redistribution of content will result in immediate termination of your access to TradeReply and may lead to legal action to protect our rights and those of our data providers.

8. Intellectual Property

All content, trademarks, and data on TradeReply are the property of TradeReply LLC. or its licensors and are protected by intellectual property laws. TradeReply is a registered trademark of TradeReply LLC. You may not use, copy, reproduce, or distribute any content from our site without our explicit permission.

9. Data and Privacy

We take your privacy seriously. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using TradeReply, you consent to the collection and use of your data as described in our Privacy Policy.

10. Disclaimer of Investment Advice and Limitation of Liability

TradeReply is an analytics platform designed to provide tools, visual KPIs, graphs, and metrics to help traders analyze historical trading data and optimize trading strategies. It is important to understand the following:

  • No Investment Advice: TradeReply does not provide personalized investment advice. The information and tools provided by our platform are for informational and educational purposes only. Users should conduct their own research and consult with a qualified financial advisor before making any investment decisions.
  • No Guarantee of Results: While our platform aims to assist traders in optimizing their strategies, TradeReply makes no guarantees regarding the accuracy, completeness, or effectiveness of the tools and information provided. Past performance is not indicative of future results.
  • User Responsibility: Users are solely responsible for their trading decisions and the use of our platform's tools and information. TradeReply will not be held liable for any losses or damages resulting from the use of our services.
  • Market Risks: Trading in financial markets involves significant risk. Users should be aware of the risks associated with trading, including the potential loss of capital. TradeReply does not take any responsibility for users' trading activities and their outcomes.

11. Attribution of Content

  • Permission to Mention: Users are granted permission to mention TradeReply and provide snapshots of our features in various channels, including but not limited to blogs, news articles, social media, presentations, and educational materials, provided they comply with the following attribution requirements.
  • Attribution Requirements: When mentioning TradeReply or using snapshots of our features, users must include a clear and visible attribution, stating, "Analysis is provided by TradeReply." This attribution must meet the following criteria:
    1. The text must be in a font size of no less than 1 pt.
    2. The attribution must be placed in a location that is clearly visible to the audience of the content.
    3. The attribution must be in a color and style that is easily readable and distinguishable from the surrounding text.
  • Usage Contexts: The permission to mention TradeReply and use snapshots of our features applies to the following contexts:
    1. Blogs and Articles: When writing about trading strategies, market analysis, or financial tools.
    2. News Media: When reporting on financial markets, trading technologies, or related topics.
    3. Social Media: When sharing insights, tips, or reviews about trading platforms.
    4. Educational Materials: When creating content for courses, webinars, or training sessions related to trading and financial analysis.
    5. Presentations: When presenting at conferences, seminars, or meetings where TradeReply’s tools and features are discussed.
  • Prohibited Uses: Users are prohibited from using TradeReply’s name or content in any way that:
    1. Misrepresents the nature of our services.
    2. Implies endorsement or partnership without our explicit permission.
    3. Competes with TradeReply or harms our reputation.
  • Review and Approval: TradeReply reserves the right to review and approve any use of our content in advance. Users may be required to submit their content for review to ensure compliance with these attribution requirements.

By using TradeReply, you agree to adhere to these terms regarding the attribution of our content. Failure to comply with these requirements may result in the termination of your access to our services and legal action to protect our rights.

12. Third Parties and Advertisers

  • Third-Party Advertisers: TradeReply may display advertisements from third parties on our site. These advertisements are provided by external companies, and TradeReply does not endorse or guarantee the products or services advertised.
  • User Interactions with Advertisers: Any interactions, transactions, or disputes that arise between you and an advertiser on our site are solely between you and the advertiser. TradeReply is not responsible for any loss or damage resulting from such interactions.   • Indemnification: By using TradeReply, you agree to indemnify and hold TradeReply harmless from any claims, damages, losses, or expenses (including attorneys' fees) arising out of or in connection with your use of third-party websites or your interactions with advertisers.

13. User Contributions and Feedback

  • User Contributions: Any content, including but not limited to comments, suggestions, ideas, data, or other information, that you submit to TradeReply through our site or services becomes the property of TradeReply. By submitting contributions, you grant TradeReply a perpetual, irrevocable, worldwide, royalty-free license to use, modify, reproduce, distribute, and display your contributions in any manner we see fit.
  • Feedback: We value and welcome feedback from our users. While we take all feedback into consideration, we may not always be able to take action on every suggestion or comment received. By providing feedback, you acknowledge that TradeReply is under no obligation to implement any ideas or suggestions you submit.

14. Education Center and Blog Disclaimer

  • Content Accuracy: The information provided in our Education Center and Blog articles is for informational and educational purposes only. While we strive to ensure the accuracy of the content, TradeReply, including the authors and contributors, does not guarantee the completeness, reliability, or accuracy of the information presented.
  • No Liability: TradeReply, its authors, and contributors are not responsible or liable for any errors, omissions, or inaccuracies in the content. 15. Marketplace Transactions and Liability

15.1 Role of TradeReply as a Marketplace

TradeReply provides an online marketplace where third-party sellers can list and sell digital products, including but not limited to courses, ebooks, trading tools, indicators, live seminar and event access, community memberships, and research reports.

TradeReply is not the seller, owner, creator, inspector, or guarantor of products listed by third-party sellers. However, TradeReply may administer marketplace operations, including payment facilitation, dispute workflows, refund processing controls, fraud prevention measures, policy enforcement, payout administration, account moderation, and marketplace restrictions.

By using the marketplace, you acknowledge and agree that TradeReply:

  • Facilitates marketplace transactions through third-party payment processors such as Stripe or PayPal.
  • Does not store full payment card details and relies on authorized payment processors to process marketplace payments.
  • Is not responsible for the quality, legality, accuracy, completeness, delivery, performance, or fulfillment of products sold by third-party sellers.
  • May administer disputes, refunds, payout holds, restrictions, chargeback responses, marketplace enforcement, and related transaction controls through TradeReply’s internal systems and/or its payment processors.
15.2 Marketplace Checkout, Payment Processing & Fees

Marketplace purchases are completed on TradeReply’s marketplace checkout page using embedded payment fields provided by our payment processor. Buyers pay the listed purchase price to TradeReply through this platform checkout. Sellers do not directly process the buyer’s card or payment method at checkout.

TradeReply collects marketplace payments, applies seller-side fees described below, and later transfers eligible seller net proceeds through Stripe Connect Express or another authorized payment processor account, subject to verification, payout schedules, holds, disputes, refunds, chargebacks, and marketplace policy enforcement.

All marketplace transactions are processed securely through third-party payment providers. TradeReply does not store full payment card details. Buyers and sellers are subject to the applicable terms, policies, and requirements of the respective payment processor.

15.2.1 Buyer Checkout Pricing

Unless expressly shown otherwise at checkout, the purchase price displayed for a marketplace listing is the amount the buyer pays to TradeReply for that purchase. Buyer checkout does not add separate TradeReply marketplace or platform fees on top of the listed price, and does not separately itemize payment processing fees to the buyer, unless such amounts are expressly displayed to the buyer before purchase.

15.2.2 Seller Fees and Payouts

Sellers pay TradeReply marketplace fees and payment processing fees tied to marketplace transactions. These amounts are deducted from seller proceeds rather than charged separately to buyers at checkout, except where expressly disclosed otherwise.

  • TradeReply platform fee: based on the seller’s active TradeReply subscription plan at the time of the transaction: Essential — 10%; Plus — 7%; Premium — 5%. TradeReply also applies a minimum platform fee of $0.50 per marketplace transaction. The platform fee charged on a transaction is the greater of the applicable plan percentage or the minimum platform fee.
  • Payment processing fees: actual fees charged by the payment processor for processing the marketplace transaction. These fees may vary based on payment method, card type, country, currency conversion, processor pricing, network rules, and other processor or banking factors. TradeReply does not guarantee that processing fees will match any fixed percentage or flat-rate example.
  • Sellers should understand that lower-priced products may have a proportionally higher fee impact because of fixed processor fees and the minimum platform fee.

Unless adjusted for refunds, reversals, holds, disputes, chargebacks, or other permitted offsets, seller net payout for a marketplace sale is generally calculated as:

gross sale amount − TradeReply platform fee − payment processing fee − applicable adjustments

TradeReply may deduct, collect, reverse, hold, reserve, or adjust commissions, application fees, marketplace fees, processing-related amounts, reserves, or other transaction-related amounts from marketplace transactions as described in these Terms, marketplace policies, or applicable seller requirements.

Sellers may be required to create or connect a payment processor account, such as a Stripe Connect Express account, before listing products, receiving marketplace proceeds, or accessing payout functionality. TradeReply may restrict, pause, delay, or condition seller payouts where necessary to resolve disputes, process refunds, address chargebacks, comply with law, complete verification, prevent fraud, recover losses, or enforce marketplace policies.

15.3 Buyer Acknowledgment

By purchasing a digital product through the TradeReply marketplace, you acknowledge that:

  • You are purchasing a product listed by a third-party seller, not a product created, owned, or guaranteed by TradeReply.
  • Digital products may be subject to usage restrictions or licensing agreements, which are provided by the seller. This may include access duration, such as lifetime access, limited-time access, or subscription-based access, and does not grant ownership.
  • Marketplace checkout is processed by TradeReply. Unless expressly shown otherwise at checkout, the purchase price displayed is the amount you pay for the listed product.
  • If TradeReply or a seller approves a full marketplace refund, you receive one hundred percent (100%) of the purchase amount paid for the refunded item or order, except to the extent any portion is expressly non-refundable by applicable law or stated policy.
  • If TradeReply or a seller approves a partial marketplace refund, you receive one hundred percent (100%) of the approved partial refund amount.
  • All sales of digital products are final unless the seller’s stated policy, TradeReply’s marketplace policies, applicable law, or an administrative review through TradeReply’s dispute system provides otherwise.
  • Refund requests and marketplace disputes must be handled through TradeReply’s internal dispute system unless otherwise required by applicable law or the applicable payment processor.
  • TradeReply may review, facilitate, approve, deny, restrict, reverse, or administratively process marketplace dispute outcomes, refunds, payout holds, transaction adjustments, or related enforcement actions in accordance with these Terms and TradeReply’s marketplace policies.

15.3.1 Access Type, Duration, and License (No Ownership)

Marketplace products are provided as a digital access license under the seller’s stated terms. You are not purchasing ownership of the product or any intellectual property.

Access duration depends on the listing’s access type:

  • Lifetime access — access does not expire unless the seller removes the content or your account is restricted for policy violations.
  • Limited-time access — access expires after the stated period from purchase.
  • Subscription-based access — access is available only while your subscription remains active and in good standing.

TradeReply does not guarantee continued availability of any seller-provided content, and sellers may update, replace, or remove content at any time, subject to applicable laws, TradeReply policies, and any marketplace access rules that apply to the listing.

15.4 Seller Responsibilities

By listing products on the TradeReply marketplace, you agree to:

  • Accurately describe your products, including any licensing terms, limitations, access duration, refund terms, technical requirements, or restrictions.
  • Ensure that all content sold complies with applicable laws and does not infringe on intellectual property, privacy, publicity, or other rights of any person or entity.
  • Respond to customer inquiries, dispute messages, refund requests, evidence requests, and administrative reviews through TradeReply’s dispute system within the required timeframes.
  • Accept that marketplace fees, payment processing fees, refund outcomes, payout administration, dispute administration, and marketplace transaction controls may be handled through TradeReply and/or its payment processors as described in these Terms.
  • Understand that seller proceeds are subject to TradeReply platform fees, payment processing fees, refunds, reversals, chargebacks, holds, and other permitted adjustments, and that sellers remain responsible for seller-side costs associated with refunded amounts as described in Section 15.5.
  • Not attempt to bypass TradeReply’s dispute system, refund controls, payout controls, marketplace fees, or platform enforcement processes.
  • Maintain accurate payment processor, tax, identity verification, contact, and payout information where required.
  • Indemnify and hold TradeReply harmless from any claims, losses, liabilities, chargebacks, payment reversals, refunds, penalties, fees, costs, or expenses arising from your products, listings, content, conduct, representations, transactions, or violation of these Terms.

Failure to adhere to these terms may result in removal of your listings, suspension or restriction of your account, payout holds, refund processing, marketplace restrictions, termination, or legal action.

Sellers remain responsible for refunds, disputes, chargebacks, failed payments, non-refundable payment processing fees, and marketplace adjustments attributable to their products or listings. TradeReply may deduct, offset, withhold, reverse, or recover amounts from current and future seller payouts, including by applying future marketplace earnings to outstanding seller balances before transferring remaining funds to a seller's connected payout account.

If a seller stops making sales, unpaid marketplace balances may remain owed to TradeReply. TradeReply may pursue recovery or collection where legally permitted.

15.5 Refunds, Chargebacks, and Dispute Resolution

Refund requests and marketplace disputes are handled through TradeReply’s internal dispute resolution system. Buyers and sellers may communicate, submit evidence, provide attachments, share corrected product links, and provide other supporting materials directly within the platform.

Sellers acknowledge and agree that marketplace refund authority, payout administration, dispute administration, and related transaction controls may be administered through TradeReply and/or its payment processors. Sellers may not independently control, issue, promise, or guarantee refund outcomes through their payment processor account or by attempting to bypass TradeReply’s dispute system.

TradeReply reserves the right, but not the obligation, to review, facilitate, investigate, restrict, approve, deny, reverse, or administratively process disputes, refunds, payout holds, transaction reversals, marketplace restrictions, account restrictions, or related enforcement actions in order to protect users, comply with legal obligations, reduce fraud, enforce marketplace policies, maintain platform integrity, or mitigate financial risk.

15.5.1 Normal Approved Marketplace Refunds

When TradeReply or a seller approves a normal marketplace refund through TradeReply’s dispute system or other approved process:

  • The buyer receives one hundred percent (100%) of the approved refund amount.
  • Seller proceeds associated with the refunded portion are reversed or reduced.
  • Non-refundable payment processing fees tied to the refunded portion generally remain the seller’s responsibility.
  • TradeReply may waive, apply, or offset the platform-fee portion of the refunded amount as needed to make the buyer whole for the approved refund.
  • TradeReply does not intend to profit from fully refunded normal marketplace transactions, but TradeReply also does not generally absorb non-refundable payment processing costs where seller proceeds, seller balances, or other amounts payable to the seller can cover them.

For normal approved refunds, the general concept is that TradeReply may apply or waive its platform-fee portion toward making the buyer whole, while the seller remains responsible for seller proceeds and non-refundable payment processing costs associated with the refunded amount, subject to applicable law and TradeReply’s review of the specific transaction.

15.5.2 Chargebacks, Fraud, Seller Misconduct, and Recovery

If a refund, chargeback, dispute, fraud event, policy violation, seller misconduct, duplicate or abusive refund activity, unauthorized transaction, or other non-compliant marketplace activity occurs, TradeReply may apply stricter recovery rules than those described for normal approved refunds.

In those circumstances, TradeReply may recover additional costs from sellers, including but not limited to:

  • seller proceeds;
  • TradeReply platform fees;
  • payment processing fees;
  • payout fees;
  • Stripe Connect, Stripe Express, or other payment processor-related costs;
  • dispute, chargeback, or reversal fees;
  • investigation or administrative costs;
  • negative balances; and
  • other amounts TradeReply or its payment processor determines are owed in connection with the event.

TradeReply may offset recoverable amounts against future payouts, seller balances, credits, reserves, or other amounts payable to the seller, to the extent permitted by applicable law, payment processor rules, and TradeReply marketplace policies.

  • Buyers may open a dispute related to a product purchased through TradeReply within 7 calendar days of the original purchase date unless otherwise required by applicable law.
  • Once a dispute is opened, both buyers and sellers are required to respond within 3 calendar days of receiving a message, request, or update. Failure to respond within this window may result in the dispute being escalated to TradeReply for administrative review, closure, refund processing, payout hold, or another marketplace action.
  • Disputes are handled within the TradeReply platform unless otherwise required by applicable law, a payment processor, a card network, a bank, or another financial institution.
  • If a buyer initiates an external dispute, chargeback, payment reversal, or claim through a financial institution or payment processor, the matter may also be governed by the policies and procedures of the applicable payment processor, card network, bank, or financial institution.
  • TradeReply may cooperate with payment processors, submit evidence, place holds on payouts, debit or offset seller balances, recover losses, restrict accounts, remove listings, or take other actions reasonably necessary in connection with disputes, refunds, chargebacks, payment reversals, fraud reviews, or marketplace enforcement.
  • TradeReply is not liable for external payment processor decisions, chargeback outcomes, card network decisions, banking decisions, or losses resulting from third-party financial dispute processes.
15.6 Disclaimer of Warranties and Limitation of Liability

TradeReply makes no warranties or guarantees regarding:

  • The availability, accuracy, reliability, completeness, legality, delivery, performance, or quality of any products listed by sellers.
  • The results, financial gains, trading performance, investment performance, or business performance of any digital product or service purchased through the marketplace.
  • The conduct, representations, responsiveness, or performance of any buyer or seller.
  • The resolution, timing, success, or outcome of any marketplace dispute, refund request, chargeback, payment reversal, payout hold, payment processor review, or enforcement action.

To the maximum extent permitted by law, TradeReply shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to any marketplace transaction, product, listing, seller conduct, buyer conduct, dispute, refund, chargeback, payout hold, payment processor action, account restriction, or marketplace enforcement action, including but not limited to lost profits, lost revenue, data loss, business interruptions, reputational harm, or loss of access.

15.7 Reporting Issues & Seller Violations

If you believe a seller has violated TradeReply’s marketplace policies, failed to deliver a product as described, infringed rights, engaged in fraud, or otherwise engaged in prohibited conduct, you may report the issue by submitting a support request. TradeReply reserves the right to investigate and take action, including removing listings, restricting marketplace access, placing payout holds, processing refunds, suspending or banning a seller, or taking other marketplace enforcement actions at its sole discretion.

15.8 Marketplace Seller Balances and Risk Controls

Subject to legal review. Marketplace subscription proceeds are subject to the same refund, offset, payout hold, recovery, and restriction rules as one-time marketplace purchases unless applicable law requires otherwise.

When TradeReply determines that a seller has an outstanding marketplace balance, elevated refund or dispute risk, aging unpaid balances, or other marketplace risk indicators, TradeReply may take one or more risk controls. These controls may include delaying payouts, holding or reserving funds, offsetting future seller earnings against outstanding balances, restricting or blocking new marketplace listing activity, blocking new marketplace checkouts for that seller's listings, requiring administrative review, or blocking account deletion while a marketplace balance remains owed.

Risk thresholds, review criteria, and enforcement actions may be updated by TradeReply from time to time. TradeReply does not guarantee that outstanding seller balances will be recovered within any particular timeframe. Existing buyer access and existing marketplace subscriptions may continue unless TradeReply takes separate action under these Terms or applicable law.

Sellers may not bypass TradeReply payout, refund, balance recovery, or marketplace restriction controls through off-platform arrangements, alternate checkout methods, or other means intended to avoid TradeReply marketplace policies.

16. Indemnification

You agree to defend, indemnify, and hold harmless TradeReply, along with our subsidiaries, affiliates, officers, agents, employees, partners, and licensors, from any claims, demands, or legal actions, including reasonable attorneys' fees, made by any third party due to or arising out of any content you submit, post, transmit, modify, or otherwise make available through TradeReply services; your use of the TradeReply services; your connection to the TradeReply services; your breach of these Terms of Service; your violation of any rights of another; or any action taken by TradeReply, reasonably and in good faith, as part of its investigation of a suspected violation of these Terms of Service or as a result of its determination that a violation of these Terms of Service has occurred. This indemnification obligation will continue after you stop using our services.

In the event of a dispute between you and one or more other users, you agree to release TradeReply from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising from or in any way related to such disputes.

17. Communication and Notifications

  • Marketing Emails: By creating an account with TradeReply, you agree to receive marketing emails from us. These emails may include information about new features, promotions, and updates about our services. We aim to provide content that is relevant and valuable to our users.
  • Service-Related Notices: You will also receive important service-related notices. These may include updates to our Terms of Service, Privacy Policy, and other critical information regarding your account and the services you use.
  • Unsubscribing: If you wish to stop receiving marketing emails, you can unsubscribe at any time by clicking the unsubscribe link provided in the footer of each marketing email. Please note that even if you unsubscribe from marketing emails, you will still receive service-related notices as these are necessary for the proper management of your account and services.

18. Modifications to the Terms

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting. Your continued use of TradeReply after any modifications indicates your acceptance of the new terms.

19. Termination

We reserve the right to terminate or suspend your access to TradeReply at any time, without prior notice or liability, for any reason, including but not limited to your breach of these Terms of Service. Reasons for termination may include, but are not limited to:

  • Violation of Terms: Breaching these Terms of Service, or any other policies or guidelines set forth by TradeReply.
  • Unlawful Use: Engaging in illegal activities or using TradeReply in a manner that violates any applicable laws or regulations.
  • Harmful Conduct: Posting or transmitting content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Security Threats: Compromising the security of our platform, including but not limited to hacking, phishing, or distributing malware.
  • Non-Payment: Failing to pay any fees or charges related to your use of the paid subscription services.

User-Initiated Termination

You may discontinue use of our services and terminate your account at any time by logging in and selecting Delete My Account in your Privacy Settings page. Once submitted, your account will be scheduled for deletion 30 days after the request. During this period, you may cancel the deletion process at any time.

If you have an active paid subscription when you request account deletion, TradeReply will schedule your subscription to stop renewing at the end of your current billing period. Paid access will continue until that billing period ends. After that billing period ends, your account will move to the Free plan if it has not been deleted yet. While your account remains scheduled for deletion, paid upgrades, renewals, and other paid billing actions may be restricted, and TradeReply may prevent billing changes that would otherwise create future charges during the pending deletion period. If you had a scheduled plan downgrade, it will be canceled when you schedule account deletion, and canceling the deletion request will not automatically restore that scheduled downgrade. If you cancel the deletion request before your account is removed, subscription renewal may be restored when the non-renewal was initiated as part of the account deletion process.

If you are on a free trial when you request account deletion, your trial may continue until its originally scheduled trial end date. While your account remains scheduled for deletion, you may switch between eligible trial plans at no charge if eligible to do so, but any such change does not extend or restart your trial—the original trial expiration date remains in effect. During this period, your trial will not automatically convert into a paid subscription, and no renewal charge will be processed at trial expiration. Access may revert to the Free plan (or equivalent non-paid status) until the account is permanently deleted. If you cancel your account deletion request before the trial ends, normal trial renewal and conversion behavior may resume for eligible trials, including conversion into a paid subscription according to the plan selected and payment method on file, as described in Section 4.

If you participate in the TradeReply marketplace as a seller, your account may not be eligible for deletion, closure, full deactivation, or disconnection from marketplace-related services until all marketplace-related obligations have been resolved. This may include, but is not limited to, open disputes, unresolved customer claims, pending refunds, chargebacks, payment reversals, payment processor investigations, outstanding balances, negative account balances, pending payouts, payout reserves, fraud reviews, compliance reviews, tax obligations, identity verification requirements, legal obligations, or active marketplace enforcement investigations.

TradeReply reserves the right to delay, restrict, deny, or condition seller account deletion requests where necessary to protect buyers, comply with legal or financial obligations, prevent fraud, enforce marketplace policies, resolve disputes, administer refunds, process payout holds, recover losses, or mitigate financial risk.

During any pending closure, restricted, suspended, or unresolved marketplace period, TradeReply may suspend marketplace activity, disable or unpublish listings, prevent new sales, pause or restrict payouts, retain transaction records, communicate with payment processors, administer disputes through TradeReply's dispute system, and take other reasonable actions necessary to operate the marketplace, protect users, and enforce these Terms.

If you are unable to access your account, first review our Troubleshooting Login Issues guide. If issues persist, follow the steps in our Requesting Account Deletion or Data Access article.

Upon requesting account deletion, we will remove the personal data you have provided to us, subject to any marketplace, legal, financial, tax, security, fraud prevention, dispute resolution, or legitimate business retention requirements. Certain information—such as your contributions to our marketplace or platform, messages sent to other users, listings, order history, dispute records, payout records, transaction records, payment processor records, and other records necessary to preserve platform integrity— may be retained where necessary or legally permitted.

For legitimate business purposes and to comply with legal obligations, including tax laws, audits, dispute resolution, fraud prevention, payment processing, accounting, marketplace enforcement, and security requirements, we are required or permitted to retain specific data for an extended period. This includes, but is not limited to, transaction logs, financial records, addresses, payment records, payout records, tax records, seller verification records, dispute records, and employment details. The retention duration for each type of data will adhere to applicable legal requirements, which may be up to 10 years.

Effects of Termination

Upon termination or suspension, your right to use TradeReply will immediately cease. If we terminate your account due to a breach of these Terms of Service, you will not be entitled to any refunds or compensation. Termination, suspension, closure, or deletion of your account does not eliminate any obligations, liabilities, payment obligations, refund obligations, dispute obligations, chargeback obligations, indemnification obligations, or other responsibilities that arose before termination or that are reasonably necessary to resolve marketplace, legal, financial, tax, security, or compliance matters.

TradeReply is not liable for any loss or damage resulting from the termination, suspension, restriction, delayed deletion, or closure of your access to our services or marketplace features. Please review our Privacy Policy for more on termination.

20. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which TradeReply operates, without regard to its conflict of law principles.

21. Language & Translations

TradeReply may provide translations of the platform, content, and these Terms into languages other than English for convenience purposes only. While we strive for accuracy, translations may not always reflect the original meaning. In the event of any inconsistency, ambiguity, or conflict between a translated version and the English version, the English version shall prevail. Users are responsible for verifying critical information by referring to the English version.

22. Limitation of Liability

By using TradeReply, you acknowledge and agree that TradeReply LLC, including its directors, officers, employees, agents, contractors, licensors, suppliers, partners, and affiliates, shall not be held responsible or liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. This includes, but is not limited to, any errors, omissions, interruptions, defects, delays, loss of data, or unauthorized access to user communications.

All content and services provided by TradeReply are on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. TradeReply does not guarantee the accuracy, completeness, or reliability of any information or content provided through its platform.

Your use of TradeReply is at your own risk. You agree to indemnify and hold harmless TradeReply, its directors, officers, employees, agents, contractors, licensors, suppliers, partners, and affiliates from any claims, damages, losses, or expenses, including legal fees, arising out of or in connection with your use of the services, violation of these Terms of Service, or infringement of any rights of another party.

By accessing and using TradeReply, you expressly agree to the terms of this Limitation of Liability section and acknowledge that this agreement is fair and reasonable in the context of the services provided.
